Online wholesale at the address www.tora-zajdel.com.pl is ran by TORA-ZAJDEL II Sp. z o. o. entered into Enterprises Registration ran by National Court Registration for Wrocław Fabryczna in Wrocław, IX Economic Faculty of National Court Registration NR KRS 0000089920, share capital 338 000,00 zł. REGON 890179188, NIP PL8840008775, headquarter situated in Świdnica, Kliczkowska 41 street.

General conditions

1.         Regulations set purchase conditions for online selling of wholesale company TORA-ZAJDEL II Sp. z o.o.

2.         Orders are taken on website www.tora-zajdel.com.pl

3.         Wholesale offer takes effect only on territory of Poland, European Union and other European countries.

4.         Information on wholesale website are not an offer in the sense of Civil Code. Placing an order by customer with mechanisms available on wholesale website is an offer of purchase by conditions set in item description.

5.         Only adults are authorized to make a purchase in online wholesale.

6.         The base condition of order realization is proper and complete fulfilled order form with information which is necessary to finish the transfer.

7.         Wholesale customers gain wholesale prices after log in into website. New customer must register by filling the registration form. After the verification customer can be qualified to gain wholesale prices. Wholesale reserves right to restrict access to sections and prices only for wholesale customers.

8.         By placing the order customer declares that he become acquainted with regulations and he is accepting it. In case of failure to comply regulations by customer, typing wrong or not complete information in form which allows Tora-Zajdel II Sp.  z o.o. to complete the order the seller has a right to cancel the order.

9.         Orders placed on polish territory are accounted in PLN. Orders from other European Union countries are accounted in EUR and orders from other, non-European Union countries are accounted in USD.

10.       Online wholesale take orders in 24/7 cycle. Orders placed during Sunday and holidays will be considered up to two working days after order placement date.

11.       Main requirement to fulfill the order is to not have any arrears against Tora-Zajdel II Sp. z o.o.

12.       Online wholesale reserves right to reject incorrect or partially filled order forms.

13.       Orders will be rejected also when:

1.         Payment will not be transferred in time.

2.         Order will be shipped outside of Poland, UE, or other European countries or will be placed in language other than Polish, English, Ukrainian or Russian.

14. Order confirmation:

1.         In case of order placed on territory of Poland order is confirmed by website automatically. No confirmation in time of 2 days since order placement by Customer or due to circumstances not related with Wholesale (for example phone line failure) causes order rejection.

2.         In case of order placed outside of polish territory order must be confirmed by e-mail in time of 5 days since order placement and by phone by Wholesale seller. Customer accepts order realization by accepting pro-forma document.

15.       Customer in special cases may correct his order – it concerns about personal information and products quantity. Customer also can change some of the products for other substitutes available in wholesale offer. All of these activities can be done only up to final confirmation moment by call with consultant/seller of Tora-Zajdel II Sp. z o.o.

16.       Order will be processed only on condition that product will be available on stock. In case of unavailable products Customer will be informed about order status and will make a decision about the way of realization (partially realization, prolonged waiting time, refuse from order’s part).

17.       Wholesale prices:

1.         In case of customers qualified as Polish Customer prices are in PLN, included tax (VAT). VAT invoice is made when all of customers ordered products are completed and ready to shipment. Price does not include shipping costs.

2.         In case of customers qualified as European Union countries Customer prices are in EUR and does not include VAT tax. VAT invoice is made when all of customers ordered products are completed and ready to shipment. Prices in EUR are related only to EXW (EX WORKS) shipping option.

3.         In case of customers qualified as Other European countries Customer prices are in USD and does not include VAT tax. Pro-forma invoice is made when all of customers ordered products are completed and ready to shipment. Prices in USD are related only to EXW (EX WORKS) shipping option.

18.       Tora-Zajdel II Sp. z o.o. reserves right to change the price without previous information about it, with exception below. In this case the Seller is obliged to inform immediately  the Customer about new price. In case of the rejection by customer the order will be canceled. Price changes are not related to the orders which are in realization with final confirmation.

19.       Tora-Zajdel II Sp. z o.o. reserves right to cancel order realization caused by stock availability or economical reasons.

Order shipment regulations

1.         Online wholesale Tora-Zajdel II Sp. z o.o. is obliged to consider order up to 72 hours (3 days) since order place date on www.tora-zajdel.com.pl website.

2.         Order, done by Consumer, will be received and checked by product availability, price and consumer personal information. In case of any unclear situations seller will contact consumer. After final confirmation consumer will receive e-mail message about realization and shipment.

3.         Available ways of payment:

            1.         In case of customers qualified as Polish Customer: COD payment, transfer (prepayment). If customer choose prepayment customer will make a transfer to wholesale seller account. When the transfer will be booked order will be sent to customer. In case of any unavailable stock consumer will be informed.  In case of excess payment (product not available) wholesale have 14 working days to transfer the payment back on account from which wholesale received payment or other account agreed with customer.

            2.         In case of customers qualified as Foreign Customer: transfer (prepayment) or cash. Customer makes a transfer for ordered products on Wholesale account by pro-forma invoice informations in currency that is in force for his ordering country.
In both cases shipment is realized in EXW (EX WORKS) method.
It is assumed that moment of payment is when amount of money is booked on Wholesale account or when whole amount is paid in cash.
If customer will not pay in time of 5 days since pro-forma invoice receiving Tora-Zajdel II Sp. z o.o. can refuse whole deal or part of it.

4.         Shipping methods and package receiving:

            1.         In case of customers qualified as Polish Customers there are available methods: courier shipment, personal receiving.

            2.         In case of customers qualified as Foreign Customers there is one available method: EXW (EX WORKS).

            3.         In case of Foreign Customer which take order on EXW method whole risk of loose or damage during transport from Wholesale to Customers place is on Customer or Transport Company rent by Customer.

5.         Shipping costs:

            1.         In case of Polish Customers cost of shipping is paid by Customer, orders are sent by courier. Shipping cost is related to orders capacity and will be counted by rules below:
                        -minimal logistic amount with free shipping: 813zł net (1 000zł gross)
                        -Shipping costs above logistic minimal amount is paid by Tora-Zajdel II Sp. z o.o.
                        -Cost of every package under logistic minimum amount is paid by Customer and it is 13zł net (15,99zł gross) for each package.

            2.         In case of Foreign Customers only way to receive the order is the EXW (EX WORKS) method which is possible to take at every working day in Poland at 8.00 AM – 4.00 PM. Before that Wholesale must confirm loading date. Customer must define authorized person or logistic company which will be identified by documents send by e-mail. For loading needs CMR document will be made.

6.         Purchased bicycles are prepared to the shipment by partially unmounted (pedals, seat, handlebar etc.). Consumer has to assembly these parts and tune up himself!

7.         Product return:

Customer which is a natural person qualified as Polish Customer which makes a deal not directly related to his business or work activity can refuse from deal without any giving any cause in time of 10 days since product receiving (Dz. U. Nr 22, poz. 271). Refuse is done by giving a statement together with returned products. Return is possible only in case of non-damaged and properly secured products. Original product box is recommended. In case of refusing from deal Customer is obligated to return products properly packaged and protected from any damages with invoice and return statement in time of 10 days since receiving.

8.         If customer notice any physical issues, damages caused during shipment then he should send product back to Tora-Zajdel II Sp. z o.o. with previous information to the seller by e-mail or phone call. Please remind about opening the package in courier present to make a protocol signed by courier.

9.         The wholesale does not accept returned products send by COD.

10.       After receiving the complained product the employees of Tora-Zajdel II Sp. z o.o. will check the product if it corresponds to  the return or complaint requirements. The complaint is checked up to 14 working days since the package delivery. Damaged product will be replaced with new ones. If replacement would not be possible (out of stock) the Seller will return the payment or propose to replace for another product.

Final regulations

1. The competent Court for disputes related to the Agreement is the Court with competence on the territory of Tora-Zajdel II Sp. z o.o. office
